1. Introduction

Welcome to Idedesk.pro. These Terms and Conditions ("Terms") govern your access to and use of our website, services, and associated content (collectively, "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

Idedesk.pro is a professional EU Compliance Desk, offering corporate compliance, GDPR consultancy, regulatory audit, data protection, and legal framework advisory services primarily for businesses operating within the European Union.

2. Definitions

For the purpose of these Terms:

  • "Client," "You," "Your" refers to the individual or entity accessing or using the Services.
  • "Idedesk.pro," "We," "Us," "Our" refers to Idedesk.pro, a business registered in Belgium.
  • "Services" refers to all products, services, content, features, technologies, or functions offered by Idedesk.pro.
  • "Content" refers to any information, text, graphics, photos, or other materials uploaded, downloaded or appearing on the Services.

3. Services Provided

Idedesk.pro offers a range of EU compliance and data protection consulting services, including but not limited to:

3.1. GDPR Consultancy

Expert advice and implementation support for compliance with the General Data Protection Regulation (GDPR).

3.2. Regulatory Audit

Conducting audits to assess compliance with relevant EU directives and national legal frameworks.

3.3. Data Protection Advisory

Guidance on data processing activities, data security, and data protection impact assessments (DPIAs).

3.4. Corporate Compliance

Assisting businesses in establishing and maintaining robust corporate compliance programs.

The exact scope of services will be defined in a separate service agreement or engagement letter between Idedesk.pro and the Client.

4. Client Obligations

By using our Services, you agree to:

  • Provide accurate, complete, and up-to-date information as requested.
  • Cooperate fully with Idedesk.pro in the provision of Services.
  • Ensure that your use of the Services complies with all applicable laws and regulations.
  • Maintain the confidentiality of any information shared by Idedesk.pro that is not publicly available.
  • Not use the Services for any unlawful purpose or in any way that could harm Idedesk.pro or any third party.

5. Fees and Payment

Fees for Services will be outlined in a separate proposal or service agreement. Unless otherwise agreed in writing, invoices are due for payment within thirty (30) days of their issue date.

Failure to pay fees when due may result in the suspension or termination of Services.

6. Intellectual Property Rights

All intellectual property rights related to Idedesk.pro's website, tools, methodologies, templates, and generic advice remain the property of Idedesk.pro. Clients are granted a non-exclusive, non-transferable license to use materials provided as part of the Services solely for their internal compliance purposes during the term of their engagement.

Any client-specific data, documents, or intellectual property provided to Idedesk.pro will remain the property of the Client.

7. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information disclosed during the course of providing or receiving Services. This obligation survives the termination of any engagement.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Idedesk.pro does not warrant that the Services will be uninterrupted, error-free, or completely secure.

Our advice and services are for guidance and assistance purposes only and do not constitute legal advice. Clients should seek independent legal counsel for specific legal issues.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Idedesk.pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; and (d) unauthorized access, use, or alteration of your transmissions or content.

In no event shall the aggregate liability of Idedesk.pro exceed the amount paid by you to Idedesk.pro for the Services in the six (6) months preceding the claim giving rise to the liability.

10. Indemnification

You agree to indemnify and hold harmless Idedesk.pro and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

11. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

12. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, shall be referred to and finally resolved by the competent courts of Ghent, Belgium.

13. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
